Acceptance of Terms

By accessing or using GroupSmarter ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service.

Description of Service

GroupSmarter is a platform designed for community organizations to manage their operations. The Service includes, but is not limited to: • Event management and RSVP tracking • Budget and expense tracking • Member directory and communications • Fundraising and payment collection • Meeting management with agendas and minutes • Product marketplace for organizational sales • Sponsor and vendor relationship tracking • Paige, an AI-powered assistant (subject to usage limits) Features and limits vary by subscription tier. See our Pricing page for current details.

Account Registration

To use GroupSmarter, you must create an account with accurate information. You are responsible for: • Maintaining the confidentiality of your account credentials • All activities that occur under your account • Notifying us immediately of any unauthorized access • Ensuring your contact information remains current We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

Organization Accounts

When you create an organization on GroupSmarter: • You represent that you have authority to act on behalf of that organization • You are responsible for managing member access and permissions • Organization data belongs to the organization, not individual users • Organization admins can transfer ownership or remove members • Deleted organizations may have data retained for 30 days before permanent deletion

Paige AI Assistant Usage

Paige is an AI-powered assistant integrated into GroupSmarter. By using Paige, you agree that: • Paige assists are limited based on your subscription tier • AI responses are generated based on your organization's data and general knowledge • Paige may occasionally provide inaccurate or incomplete information • You should verify important information before acting on Paige's suggestions • Paige interactions may be used to improve the Service (in anonymized form) • You will not attempt to manipulate Paige for harmful purposes Paige is a tool to assist, not replace, human judgment and decision-making.

Acceptable Use

You agree NOT to use GroupSmarter to: • Violate any laws or regulations • Infringe on intellectual property rights • Transmit malware, spam, or harmful content • Harass, threaten, or discriminate against others • Collect personal data without proper consent • Attempt to gain unauthorized access to the Service • Interfere with other users' use of the Service • Use the Service for commercial spam or unsolicited marketing We reserve the right to suspend or terminate accounts that violate these guidelines.

Payment Terms

For paid subscriptions: • Subscriptions are billed monthly in advance • Payment is due at the start of each billing period • Failed payments may result in service interruption after a 7-day grace period • Prices may change with 30 days notice • No refunds for partial months when downgrading or canceling • Transaction fees (Starter: 3%, Growth: 1%, Pro: 0%) apply to payment processing For organizations collecting payments through GroupSmarter: • Funds are processed through Stripe and transferred to your connected account • Standard Stripe processing fees apply in addition to platform fees • You are responsible for compliance with payment regulations in your jurisdiction

Cancellation and Refunds

You may cancel your subscription at any time: • Cancel from Organization Settings → Billing • Cancellation takes effect at end of current billing period • You retain access until the period ends • No refunds for unused portions of the billing period • Data export is available for 30 days after cancellation For annual subscriptions: • Pro-rated refunds available within first 30 days • No refunds after 30 days • Contact support for exceptional circumstances

Data Ownership and Portability

Your data belongs to you: • You retain ownership of all content you upload to GroupSmarter • You grant us a license to use your data to provide the Service • You can export your data at any time in standard formats (CSV, JSON) • Upon account deletion, we will delete your data within 30 days • Some data may be retained longer for legal compliance or backup purposes We will never sell your personal data or organization information to third parties.

Intellectual Property

GroupSmarter and its original content, features, and functionality are owned by GroupSmarter and protected by intellectual property laws. • You may not copy, modify, or distribute our software without permission • You may not use our trademarks without written consent • User-generated content remains owned by the respective users • Feedback and suggestions you provide may be used to improve the Service without compensation

Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service: • We target 99.9% uptime for paid plans • Scheduled maintenance will be announced in advance when possible • We are not liable for downtime caused by factors outside our control • Free tier users may experience reduced priority during high-demand periods Check our status page for current service status and incident history.

Limitation of Liability and Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: DISCLAIMER OF WARRANTIES: GroupSmarter and all related services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise. We expressly disclaim all implied warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that: • The Service will meet your specific requirements • The Service will be uninterrupted, timely, secure, or error-free • Results obtained from the Service will be accurate or reliable • Any errors in the Service will be corrected LIMITATION OF LIABILITY: IN NO EVENT SHALL GROUPSMARTER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR: • Any indirect, incidental, special, consequential, punitive, or exemplary damages • Loss of profits, revenue, data, goodwill, or other intangible losses • Damages resulting from unauthorized access to or alteration of your data • Damages resulting from third-party conduct or content • Damages arising from your use of or inability to use the Service OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD). These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise), even if we have been advised of the possibility of such damages. ASSUMPTION OF RISK: You expressly acknowledge and agree that your use of the Service is at your sole risk. You are solely responsible for any damage to your computer system, mobile device, or loss of data resulting from your use of the Service. Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify and hold harmless GroupSmarter from claims arising from: • Your use of the Service • Your violation of these Terms • Your violation of any rights of another party • Content you upload or share through the Service

Dispute Resolution

Any disputes arising from these Terms or your use of GroupSmarter: • Will first be addressed through good-faith negotiation • If unresolved within 30 days, may be submitted to binding arbitration • Arbitration will be conducted in Mississippi under AAA Commercial Arbitration Rules • Class action lawsuits and class-wide arbitration are not permitted • Small claims court remains available for qualifying disputes This agreement is governed by the laws of the State of Mississippi, without regard to conflict of law provisions.

Changes to Terms

We may modify these Terms at any time: • Material changes will be announced via email or in-app notification • Changes take effect 30 days after notification • Continued use after changes constitutes acceptance • If you disagree with changes, you may cancel your account Review these Terms periodically for updates.

Product Marketplace

GroupSmarter provides a marketplace feature allowing organizations to sell products, merchandise, and digital items to their members and supporters. GROUPSMARTER'S ROLE: GroupSmarter acts solely as a platform facilitating transactions between organizations (sellers) and purchasers (buyers). GroupSmarter is NOT: • A party to any transaction between sellers and buyers • The seller or manufacturer of any products • Responsible for the quality, safety, legality, or any aspect of listed items • A payment processor (payments are handled by Stripe) ORGANIZATION (SELLER) RESPONSIBILITIES: Organizations using the marketplace agree to: • Provide accurate product descriptions, pricing, and availability • Fulfill orders in a timely manner as described in listings • Handle all customer service, returns, refunds, and disputes directly with buyers • Comply with all applicable laws including consumer protection, sales tax collection and remittance, and product safety regulations • Maintain appropriate insurance for products sold • Not sell prohibited items (weapons, controlled substances, counterfeit goods, age-restricted items without verification, or items that violate third-party rights) PURCHASER RESPONSIBILITIES: Purchasers acknowledge that: • All purchases are made directly from the organization, not GroupSmarter • Product claims, disputes, refunds, and returns must be handled with the selling organization • GroupSmarter has no obligation to mediate disputes or issue refunds TAX DISCLAIMER: Organizations are solely responsible for determining applicable sales taxes, collecting taxes from purchasers, and remitting taxes to appropriate authorities. GroupSmarter does not provide tax advice and makes no representations regarding tax obligations. PRODUCT LIABILITY DISCLAIMER: GROUPSMARTER EXPRESSLY DISCLAIMS ALL LIABILITY FOR: • Product defects, injuries, or damages arising from products sold through the marketplace • Misrepresentation of products by organizations • Failure of organizations to fulfill orders or honor refund policies • Any claims arising from the sale, purchase, or use of marketplace products Organizations agree to indemnify and hold harmless GroupSmarter from any claims, damages, or expenses arising from products they sell through the marketplace. TRANSACTION FEES: Platform transaction fees (varying by subscription tier) apply to marketplace sales in addition to standard payment processing fees. See Pricing page for current rates. MARKETPLACE CONTENT: Organizations retain ownership of product listings and images. By listing products, organizations grant GroupSmarter a license to display and promote listings within the platform.

Sponsor and Vendor Management

GroupSmarter provides tools for organizations to track sponsors, donors, and vendor relationships. DATA COLLECTION AND USE: Organizations may input sponsor and vendor information including: • Business names and contact information • Donation and sponsorship history • Communication records • Contract terms and commitments ORGANIZATION RESPONSIBILITIES: Organizations using sponsor/vendor management features agree to: • Only input data they have the right to collect and store • Comply with applicable privacy laws when collecting third-party business information • Use sponsor/vendor contact information only for legitimate organizational purposes • Not use the platform for unsolicited bulk commercial communications (spam) • Maintain accurate records and honor any opt-out requests from sponsors/vendors THIRD-PARTY DATA DISCLAIMER: GroupSmarter does not verify the accuracy of sponsor or vendor information entered by organizations. Organizations are solely responsible for: • Accuracy of sponsor/vendor records • Obtaining any necessary consent to store third-party contact information • Honoring privacy requests from sponsors and vendors • Compliance with CAN-SPAM, TCPA, and other applicable communication laws NO ENDORSEMENT: Listing a sponsor or vendor in GroupSmarter does not constitute an endorsement by GroupSmarter of that entity. DATA SHARING: GroupSmarter does NOT share sponsor/vendor data between organizations or with third parties for marketing purposes. Sponsor/vendor data is accessible only to authorized members of the organization that entered it, subject to permission settings.

Meeting Management

GroupSmarter provides meeting scheduling, agenda creation, and minutes documentation features. MEETING RECORDS: Organizations may create and store: • Meeting agendas and notes • Action items and decisions • Attendance records • Voting records (if applicable) OWNERSHIP AND RETENTION: • Meeting records belong to the organization, not individual users • Meeting data is retained according to our standard data retention policy • Organizations can export meeting records at any time • Upon organization deletion, meeting records are deleted per our standard deletion timeline NO LEGAL ADVICE: Meeting records created in GroupSmarter are for organizational convenience only. GroupSmarter does not provide legal advice regarding: • Corporate governance requirements • Record-keeping obligations for your organization type • Parliamentary procedure or voting validity • Compliance with bylaws or articles of incorporation Organizations are responsible for ensuring their meeting practices comply with applicable laws and their own governing documents. AUDIO/VIDEO MEETINGS: If GroupSmarter introduces audio or video meeting features in the future: • Recording features will require explicit consent from participants • Organizations are responsible for complying with applicable recording consent laws (one-party vs. two-party consent jurisdictions) • GroupSmarter will not access meeting recordings except as required for service provision or legal compliance DECISION DOCUMENTATION DISCLAIMER: GroupSmarter is not responsible for the accuracy, completeness, or legal validity of meeting minutes or decisions documented in the platform. Organizations are solely responsible for verifying that documented decisions reflect actual organizational actions.

User Acknowledgments and Consent

BY CREATING AN ACCOUNT OR USING GROUPSMARTER, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT: INFORMED CONSENT: • You have read, understood, and agree to be bound by these Terms of Service • You have read and understood our Privacy Policy • You consent to the collection, use, and processing of your data as described • You understand the limitations of the Service and assume all risks associated with its use UNDERSTANDING OF SERVICE: • GroupSmarter is a software platform providing organizational management tools • We do not provide legal, financial, tax, or professional advice • Features including AI assistance (Paige) are tools to assist, not replace, professional judgment • You are responsible for verifying the accuracy of any information or suggestions provided ORGANIZATIONAL AUTHORITY: If you use GroupSmarter on behalf of an organization: • You represent that you have authority to bind the organization to these Terms • You are responsible for ensuring organizational compliance with these Terms • You will ensure all users added to your organization are informed of applicable policies ASSUMPTION OF RESPONSIBILITY: You acknowledge sole responsibility for: • All content you upload, create, or share through the Service • All decisions made based on information in the Service • Compliance with laws applicable to your organization's activities • Proper management of your organization's data and user access • Backup of any critical data (though we maintain backups, we do not guarantee data recovery) INDEMNIFICATION: You agree to indemnify, defend, and hold harmless GroupSmarter and its officers, directors, employees, agents, and affiliates from any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: • Your use of the Service • Your violation of these Terms • Your violation of any law or regulation • Your violation of any third-party rights • Content you create or share through the Service • Your organization's use of marketplace, fundraising, or payment features • Any dispute between you and any third party (including organization members, sponsors, vendors, or purchasers) WAIVER OF CLASS ACTION: To the maximum extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration against GroupSmarter. CHANGES TO TERMS: We may modify these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the modified Terms. If you do not agree to changes, your sole remedy is to discontinue use of the Service. SEVERABILITY: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect. ENTIRE AGREEMENT: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and GroupSmarter regarding the Service.

Communications Features

GroupSmarter provides communication tools including announcements, messaging, and notification features. ORGANIZATION RESPONSIBILITIES: Organizations using communication features agree to: • Comply with all applicable laws including CAN-SPAM Act, TCPA, GDPR, and similar regulations • Only send communications to individuals who have consented to receive them • Honor unsubscribe and opt-out requests promptly • Not use communication features for spam, phishing, or deceptive practices • Not send communications containing illegal, harmful, or offensive content COMMUNICATION LIMITS: • Bulk messaging limits apply based on subscription tier • We reserve the right to suspend communication privileges for organizations that violate these terms or generate excessive complaints EMAIL DELIVERABILITY: GroupSmarter does not guarantee email delivery. Delivery may be affected by: • Recipient email provider spam filters • Recipient inbox settings • Technical issues beyond our control MESSAGE CONTENT: Organizations are solely responsible for the content of their communications. GroupSmarter does not review or approve communications before sending and disclaims all liability for message content. SMS/TEXT MESSAGING (IF APPLICABLE): If SMS features are enabled: • Organizations must obtain explicit consent before sending text messages • Organizations are responsible for compliance with TCPA and state-specific regulations • Standard messaging rates may apply to recipients • Organizations must honor STOP/opt-out requests immediately
